1. Agreement to Terms

By creating an account on Dialzio or using any part of the service at app.dialzio.com, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service. These Terms form a binding agreement between you ("Customer", "you") and Dialzio ("we", "our", "us").

2. The Service

Dialzio is a customer relationship management (CRM) platform that helps businesses manage contacts, run AI-powered voice and WhatsApp campaigns, track calls, and organise sales activity. The service is provided on a subscription basis and may be updated, expanded, or modified from time to time.

3. Eligibility & Account Registration

  • You must be at least 18 years old and able to enter into a binding contract.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for safeguarding your password and for all activity under your account.
  • You must notify us immediately of any unauthorised access or suspected breach.

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of applicable laws (including TRAI regulations on commercial communication and Meta's WhatsApp Business policies).
  • Send spam, unsolicited bulk messages, or content that violates the WhatsApp Business Messaging Policy.
  • Upload, transmit, or store malicious code, viruses, or harmful content.
  • Attempt to reverse-engineer, scrape, or interfere with the service or its infrastructure.
  • Resell, rent, or sublicense the service without our written permission.
  • Use the service to harass, defame, or impersonate any person or entity.

We may suspend or terminate accounts that violate these rules, with or without notice.

5. Subscription, Fees & Payment

  • Paid plans are billed in advance on a monthly or annual basis through Razorpay or another approved payment partner.
  • All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST).
  • Subscriptions renew automatically until cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
  • We may revise pricing with at least 30 days' notice. Continued use after the change constitutes acceptance.
  • Telephony, AI voice, and WhatsApp messaging may carry usage-based charges in addition to the subscription fee. These are billed separately and disclosed in your usage dashboard.

6. Refund Policy

Subscription fees are non-refundable except where required by law. If you believe you have been charged in error, contact us at support@dialzio.com within 7 days of the charge for review. Usage-based charges (calls, messages) are non-refundable once consumed.

7. Customer Data & Ownership

  • You retain all rights to the data you upload or generate through Dialzio ("Customer Data").
  • You grant us a limited license to process Customer Data solely to provide and improve the service.
  • You are responsible for ensuring you have the legal right and consent to upload and process the contact information of your leads and customers.
  • On account closure, we retain Customer Data per the retention period in our Privacy Policy, after which it is permanently deleted.

8. AI Features

Dialzio uses third-party AI providers (including Google Gemini) to power voice agents, transcription, and summarisation features. AI outputs may be inaccurate or incomplete; you are responsible for reviewing AI-generated content before relying on it for business decisions. We do not warrant that AI features will produce error-free results.

9. Third-Party Services

The service integrates with third-party providers including Meta (WhatsApp Business API), Piopiy / TeleCMI (telephony), Razorpay (payments), and Google (AI services). Your use of those features is also subject to the respective provider's terms. We are not responsible for any third-party outage, change, or policy violation.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, or events beyond our reasonable control may cause downtime. We are not liable for missed calls, undelivered messages, or business loss arising from such interruptions.

11. Intellectual Property

The Dialzio platform, its design, branding, code, and content (excluding Customer Data) are the exclusive property of Dialzio and are protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works without prior written permission.

12. Disclaimers

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your specific requirements or be error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Dialzio's total liability for any claim arising out of these Terms or your use of the service shall not exceed the fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

14. Indemnification

You agree to indemnify and hold Dialzio harmless from any claim, loss, or expense (including reasonable legal fees) arising from (a) your use of the service, (b) your violation of these Terms, or (c) your violation of any third-party right, including data-protection or communication-consent laws.

15. Termination

You may terminate your account at any time from your settings. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or activity that risks our platform or other customers. On termination, your right to access the service ends and any unpaid fees become immediately due.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or via an in-product notice at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts at Visakhapatnam, Andhra Pradesh.
